1. Agreement to these terms
By accessing or using https://www.nerdvanalabs.ae (the “Site”), you agree to these Terms of Use. If you do not agree, do not use the Site. These terms are between you and Nerdvana Labs, a technology engineering company based in Dubai, United Arab Emirates.
2. About the Site
The Site provides information about our studio, capabilities, solutions, selected work, blog and ways to contact us. Content on the Site is for general information and business presentation. It does not constitute a binding offer, proposal or commitment unless we expressly confirm that in writing.
3. Acceptable use
You agree to use the Site only for lawful purposes. You must not:
- Attempt to gain unauthorised access to the Site, related systems or data.
- Interfere with or disrupt the Site’s operation, security or integrity.
- Use the Site to transmit malware, spam or harmful content.
- Scrape, harvest or systematically extract content except as allowed by applicable law or with our prior written consent.
- Misrepresent your identity or affiliation when contacting us.
- Use the Site in any way that violates applicable UAE or other relevant law.
4. Intellectual property
Unless otherwise stated, the Site and its content - including text, branding, graphics, layout, logos and design - are owned by Nerdvana Labs or our licensors and are protected by intellectual property laws. You may view and temporarily download content for personal or internal business evaluation related to a potential engagement with us. You may not copy, modify, distribute, republish or commercially exploit Site content without our prior written permission, except for limited fair dealing or other rights that cannot be excluded by law.
Client names, marks and case-study materials appear only where we are permitted to reference them. Third-party marks remain the property of their respective owners.
5. Enquiries and client work
Submitting an enquiry through the Site does not create a client relationship. Any consulting, product engineering, managed services or other professional engagement is governed by a separate written agreement between Nerdvana Labs and the relevant client. In the event of conflict between these Terms of Use and a signed client agreement, the client agreement prevails for that engagement.
6. No warranties
The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.
Descriptions of capabilities, outcomes or past work are illustrative and may not reflect results achievable in every context. Past performance is not a guarantee of future results.
7. Limitation of liability
To the fullest extent permitted by applicable law, Nerdvana Labs and its directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to your use of - or inability to use - the Site, whether based in contract, tort or otherwise, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to your use of the Site will not exceed AED 1,000, except where liability cannot be limited or excluded under applicable law (including liability for death or personal injury caused by negligence, or for fraud).
8. Indemnity
You agree to indemnify and hold harmless Nerdvana Labs and its directors, employees and agents from claims, losses, liabilities and expenses (including reasonable legal fees) arising out of your misuse of the Site or your breach of these Terms of Use, to the extent permitted by law.
9. Privacy
How we handle personal information is described in our Privacy Policy, which forms part of how we operate the Site.
10. Third-party links
The Site may contain links to third-party websites or services. We do not control and are not responsible for those sites, their content or their practices. Accessing them is at your own risk.
11. Changes
We may update the Site or these Terms of Use at any time. The “Last updated” date will change when we revise these terms. Continued use of the Site after changes take effect constitutes acceptance of the updated terms, except where applicable law requires otherwise.
12. Governing law and disputes
These Terms of Use are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Subject to any mandatory rights you may have, the courts of Dubai shall have exclusive jurisdiction over disputes arising from or relating to these terms or the Site, without prejudice to our right to seek injunctive or other relief in any jurisdiction.
13. General
If any provision of these terms is held unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver of our right to do so later. These terms constitute the entire agreement between you and us regarding use of the Site, and supersede prior understandings on that subject.
